Terms of Service

These terms govern your individual use of the Matter Vault. If your firm has a separate written agreement with Alpha Source Technologies Inc., that agreement governs the firm's relationship with us and prevails over these terms where they conflict.

1. Who may use the vault

Access is by invitation only. You may use the vault only if an administrator has created an account for you, and only in connection with the matters that administrator has made available to you. You must be at least eighteen and legally able to be bound by these terms.

2. Your account

  • Sign-in links are personal. Do not forward them. A link works once and expires in fifteen minutes; anyone who uses it is signed in as you, and the log will say it was you.
  • You are responsible for the security of the mailbox that receives your links. We strongly recommend enrolling an authenticator app under Security; your firm may require it.
  • Tell your firm's administrator immediately if you believe your account or mailbox has been compromised.

3. You are being logged

By using the vault you acknowledge that every sign-in, every file you upload or download, and every administrative action you take is recorded with your identity, the time and your IP address in a tamper-evident log that cannot later be altered or erased, and that this log may be disclosed to your firm, to the parties in a matter, or to a court.

4. Acceptable use

You agree not to:

  • access, or attempt to access, any matter you have not been granted;
  • probe, scan or test the vault's security other than through a disclosure arrangement agreed with us in writing;
  • upload material you have no right to hold, or material intended to harm the vault, its users or their systems;
  • share your access with, or act on behalf of, anyone not authorised by your firm;
  • use the vault for any purpose unrelated to the legal matters for which your firm licensed it.

5. Your material

Everything placed in a matter belongs to the firm that placed it, or to its client. We claim no ownership. We take only the licence needed to store, encrypt, transmit and delete it on your firm's instructions. We do not read it and we will not use it to train or improve any system.

Authorised analysis is the one exception, and it is yours to grant. A firm administrator may switch on analysis for a specific matter. When that is on, our analysis worker may decrypt that matter's documents in memory to produce a chronology, actor map and evidence index, sending the documents to our AI provider for extraction. The provider does not train on them; it retains them only briefly for abuse monitoring under its own terms. Nothing is written to disk unencrypted, the results are stored back in the same matter under the same key, every file read is recorded in the access log, and withdrawing authorisation stops any further reading. Matters without authorisation are never read.

6. What the vault is not

The vault stores and transmits documents. Except where a firm has authorised analysis of a matter (§5), it does not review them, and it never advises on them or vouches for them. LITICUS Legal Intelligence is not a law firm and the vault creates no attorney-client relationship with anyone. See the Legal Disclaimer.

7. Availability

We work to keep the vault available and secure but, absent a written service agreement with your firm stating otherwise, we do not promise uninterrupted access. We may suspend access to protect the vault, its users or their material, and will tell your firm why as soon as it is safe to do so.

8. Destruction

When a firm instructs us to destroy a matter, we discard its encryption key and issue a certificate of destruction. This is irreversible by anyone, including us. Encrypted system backups taken before destruction expire on a fixed schedule stated on the certificate, after which no copy of the key exists anywhere. Do not ask us to destroy a matter unless you mean it.

9. Liability

To the fullest extent the law allows, Alpha Source Technologies Inc. is not liable to you personally for indirect, consequential, special or punitive damages arising from your use of the vault, and its total liability to you personally for any claim is limited to one hundred US dollars. Nothing here limits liability that cannot lawfully be limited, or any liability we have accepted in a written agreement with your firm.

10. Termination

Your firm's administrator may disable your account at any time. We may disable it if you breach these terms. The access log survives either.

11. Governing law

These terms are governed by the laws of the State of Washington, and any dispute under them will be heard in the state or federal courts sitting in King County, Washington, unless a written agreement with your firm provides otherwise.

12. Changes

We may revise these terms. Material changes will be dated at the top and signed-in users will be told on their next sign-in. Continued use after a change is acceptance of it.
